Terms of Agreement for Lexvor Connect Network Small Cell Host

​

1. Introduction

​

This Terms of Agreement ("Agreement") sets forth the detailed terms and conditions between Lexvor Inc. ("Lexvor") and the individual ("Host") who agrees to host a Lexvor Connect Network Small Cell at their residential property. By applying for and participating in this program, the Host acknowledges and agrees to be bound by the terms and conditions outlined herein.

2. Eligibility and Application

​

2.1 Eligibility Criteria:

​

• The Host must be a legal adult, aged 18 years or older.

• The Host must have legal ownership of the property or possess documented legal rights to install telecommunications equipment on the property.

• The Host must provide verifiable government-issued identification and proof of property ownership or tenancy rights.

• The Host's property must meet the technical and strategic requirements set forth by Lexvor, which may include location, accessibility, and network compatibility criteria.

2.2 Application Fee:

​

• The Host is required to pay a non-refundable application fee of $10. This fee is intended to cover administrative costs associated with processing the application and conducting initial site evaluations.

• Payment of the application fee does not guarantee acceptance into the program.

​

2.3 Application Process:

​

• The Host must complete and submit the application form provided by Lexvor, including all required personal information, property details, and supporting documents.

• Lexvor will review the application, which may involve site visits and technical assessments, and notify the Host of the approval status within 30 days of receiving the complete application.

• Approval of applications is at the sole discretion of Lexvor and will be based on the suitability of the property for small cell installation and other business considerations.

3. Installation and Maintenance

3.1 Installation:

​

• Upon approval of the application, Lexvor will coordinate the installation of the small cell equipment at the Host's property.

• Installation will be carried out by qualified technicians appointed by Lexvor at no cost to the Host.

• The Host agrees to provide reasonable access to the property for installation purposes, including granting entry to Lexvor personnel and contractors at mutually agreed upon times.

3.2 Maintenance:

​

• Lexvor is responsible for the maintenance, repair, and upkeep of the small cell equipment.

• The Host must promptly notify Lexvor of any issues, malfunctions, or damages to the equipment.

• Lexvor reserves the right to access the property for maintenance and repair work, provided reasonable notice is given to the Host, except in cases of emergency where immediate access is necessary.

4. Compensation

​

4.1 Monthly Payment:

​

• Lexvor will compensate the Host with a minimum payment of $10 per month for hosting the small cell equipment, starting from the date of complete installation.

• Payments will be made directly to the Host's provided bank account or another agreed payment method every 30 days or once per month.

​

4.2 Payment Options:

​

• Hosts can choose to receive payments in United States Dollars (USD).

• The Host must provide accurate and verifiable payment information to Lexvor and is responsible for updating this information as necessary.

​

4.3 Payment Conditions:

​

• Payments are contingent upon the small cell equipment being operational and the Host's compliance with all terms and conditions of this Agreement.

• Lexvor reserves the right to withhold payments if the Host fails to meet the requirements outlined in this Agreement.

​

5. Lease Term and Termination

​

5.1 Lease Term:

​

• The Host agrees to a minimum lease term of 24 months, commencing from the date of complete installation of the small cell equipment.

• After the initial 24-month term, the lease may be renewed on a month-to-month basis or for an additional fixed term upon mutual agreement between the Host and Lexvor.

​

5.2 Termination by Host:

​

• The Host may terminate this Agreement after the initial 24-month term by providing 60 days' written notice to Lexvor.

• Early termination by the Host before the end of the 24-month term will result in the forfeiture of any unpaid monthly payments and may subject the Host to additional penalties or costs incurred by Lexvor.

5.3 Termination by Lexvor:

​

• Lexvor may terminate this Agreement at any time with 30 days' written notice if the Host fails to comply with the terms and conditions or if the small cell is no longer required for network purposes.

• In the event of termination by Lexvor, the Host will be compensated for any unpaid monthly payments up to the termination date, provided the Host has fulfilled their obligations under this Agreement.

5.4 Termination for Cause:

​

• Either party may terminate this Agreement immediately upon written notice if the other party commits a material breach of the Agreement and fails to remedy the breach within 30 days of receiving written notice of the breach.

​

6. Responsibilities of the Host

​

6.1 Compliance with Laws:

​

• The Host must comply with all applicable local, state, and federal laws and regulations related to the installation and operation of the small cell equipment.

• The Host is responsible for obtaining any necessary permits or approvals required for the installation and operation of the equipment on their property.

​

6.2 Property Conditions:

​

• The Host must ensure that the property conditions remain suitable for the operation of the small cell equipment throughout the lease term.

• The Host must not interfere with the operation of the small cell equipment and must take reasonable steps to protect the equipment from damage, theft, or unauthorized access.

​

6.3 Notification of Changes:

​

• The Host must promptly notify Lexvor of any changes to the property that may affect the installation, operation, or maintenance of the small cell equipment, such as renovations, changes in property ownership, or legal disputes.

​

7. Liability and Indemnification

​

7.1 Liability:

​

• Lexvor shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the installation, operation, or termination of the small cell equipment, including but not limited to loss of use, loss of profits, or loss of data.

• Lexvor's total liability under this Agreement shall not exceed the amount of compensation paid to the Host during the 12-month period preceding the event giving rise to the claim.

7.2 Indemnification:

​

• The Host agrees to indemnify, defend, and hold harmless Lexvor, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • The Host's breach of this Agreement.

  • The Host's negligence or willful misconduct in hosting the small cell equipment.

  • Any third-party claims arising from the Host's actions or omissions related to the small cell equipment.

• ​

8. Confidentiality

​

8.1 Confidential Information:

​

• The Host agrees to keep confidential any proprietary or confidential information provided by Lexvor in connection with this Agreement, including but not limited to technical specifications, business plans, and customer data.

• The Host shall not disclose any such confidential information to any third party without the prior written consent of Lexvor, except as required by law.

​

8.2 Return of Confidential Information:

​

• Upon termination of this Agreement, the Host shall return to Lexvor all confidential information and any copies thereof in the Host's possession or control.

​

9. Miscellaneous

​

9.1 Governing Law:

​

• This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.

​

9.2 Entire Agreement:

​

• This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, negotiations, and understandings, whether written or oral, relating to the subject matter hereof.

​

9.3 Amendments:

​

• Any amendments to this Agreement must be in writing and signed by both parties.

​

9.4 Severability:

​

• If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

​

9.5 Notices:

​

• Any notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when sent by certified mail, return receipt requested, to the addresses provided by the parties.

​

9.6 Force Majeure:

​

• Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

​

9.7 Assignment:

​

• The Host may not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of Lexvor. Lexvor may assign or transfer its rights and obligations under this Agreement without the Host's consent.

​

9.8 Waiver:

​

• No waiver of any breach or default under this Agreement shall be deemed a waiver of any subsequent breach or default. No failure or delay in exercising any right or remedy under this Agreement shall constitute a waiver thereof.

​

9.9 Survival:

​

• The provisions of this Agreement that by their nature are intended to survive the termination or expiration of this Agreement, including but not limited to Sections 6 (Responsibilities of the Host), 7 (Liability and Indemnification), 8 (Confidentiality), and 9 (Miscellaneous), shall survive and continue in effect.

By participating in this program, the Host acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions.

Lexvor Connect Network Sign-Up Bonus – Terms and Conditions

Effective Date: September 1st, 2024

​

1. Eligibility:

​

• This offer is available to new customers who sign up for the Lexvor Connect Network.

• Participants must be 18 years or older and legal residents of the United States.

• The offer applies to each device purchased and activated through the Lexvor Connect Network during the promotional period.

• Lexvor employees, contractors, and their immediate family members are not eligible for this bonus.

​

2. Promotional Period:

​

• The Lexvor Connect Network Sign-Up Bonus offer is valid from September 1st, 2024, until January 1st, 2025, or while supplies last.

​

3. Bonus Details:

​

• Qualifying participants will receive a bonus of $400 in credit per device, paid as $400 after first 3 months of consistent  network connection.

• After the 3-month period, the rate will return to the normal pricing per device.

• The bonus applies to each device sold. For example, a user purchasing 10 devices will receive $4,000 (four thousand dollars) in bonus rewards.

• Users have the option to receive either:​

  • $400 in Lexvor credits that will be applied toward 5G Internet Services.

  • These credits can not be applied to any other plan or subscription.

​

4. Activation Requirements:

​

• Devices must be activated within 7 days of purchase to be eligible for the bonus.

• Failure to activate the device within the specified period will result in forfeiture of the bonus.

​

5. Refunds and Adjustments:

​

• In the event of a refund request, users will only receive the difference between the total amount paid and the bonus credits already received.

• The bonus credits or refund are non-transferable and cannot be exchanged for cash beyond the refund option.

​

6. Use of Bonus:

​

• The sign-up bonus can be applied towards 5G Internet Services ONLY from Lexvor.

• Bonus credits cannot be transferred to other accounts.

​

7. Cancellations:

​

• If the Lexvor Connect Network service is canceled before the full bonus has been applied, the remaining bonus will be forfeited.

​

8. Modifications and Termination:

​

• Lexvor reserves the right to modify or terminate this promotion at any time without prior notice.

• Any changes will be posted on the official Lexvor website.

​

9. Disqualification:

​

• Lexvor reserves the right to disqualify any participant found to be in violation of these Terms and Conditions or engaged in fraudulent activities.

​

10. Limitation of Liability:

​

• Lexvor is not responsible for any technical errors, delays, or other issues that may affect the availability or delivery of the sign-up bonus.

​

11. Governing Law:

​

• These Terms and Conditions are governed by the laws of the state of California. Any disputes arising from this promotion will be subject to the exclusive jurisdiction of the courts in Santa Ana.

​

12. Acceptance of Terms:

​

• By participating in the Lexvor Connect Network Sign-Up Bonus offer, you agree to comply with and be bound by these Terms and Conditions.
